**Regulation D, Rule 506(b):**
- A provision of the U.S. Securities Act that allows companies to raise an unlimited amount of capital from investors without registering the securities with the SEC.
- Prohibits general solicitation and advertising to the public.
- Can include an unlimited number of accredited investors and up to 35 unaccredited, sophisticated investors.
- If unaccredited investors are involved, certain disclosures, which can be similar to those in a registered offering, must be provided.
- Does not require issuers to verify the accredited status of investors; self-certification by investors is acceptable.
In essence, Rule 506(b) allows for private capital raising without public advertising, with the flexibility to include both accredited and limited unaccredited investors.
